Terms And Condition
For a furniture showroom like Living Wood in Bengaluru, the terms and conditions should clearly cover your sales process, responsibilities, and customer rights. Below are the key clauses you should include, which you can adapt for invoices, order forms, and your website.
1. Definitions and scope
• Define terms like “Company”, “Customer”, “Product”, “Custom-made order”, “Delivery”, and “Installation”.
• Clarify that the terms apply to all showroom purchases, custom orders, and any related services like delivery and installation.
2. Eligibility and use
• State that the customer must be legally competent to contract under Indian law.
• Clarify that purchases are for personal or business use and resale may require separate agreement.
3. Product description and natural variations
• Mention that all sizes are approximate and minor variations in dimensions may occur.
• For solid wood, explain natural variations in grain, colour, knots, and minor movement or expansion, and that these are not considered defects.
4. Pricing, taxes, and validity
• State that prices are in INR and inclusive/exclusive of GST as applicable.
• Mention that quotations are valid only for a specific period (for example, 7–15 days) and prices may change after that.
5. Orders, advance payment, and confirmation
• Specify minimum booking advance (for example, 30–50%) and that work starts only after receiving the advance.
• State that an order is confirmed only after written confirmation (invoice/order form) and receipt of advance.
6. Custom-made and made-to-order items
• Clarify that custom or made-to-order furniture is manufactured as per approved design, size, finish, and fabric.
• Mention that such orders cannot be cancelled, returned, or exchanged except for manufacturing defects.
7. Balance payment terms
• Define when the balance is due (for example, before delivery, at dispatch, or on installation).
• Include consequences of delayed payment (for example, storage charges after a grace period or withholding delivery).
8. Delivery, access, and delays
• Explain who is responsible for delivery charges and the service area (for example, within Bengaluru city limits).
• State that the customer must ensure clear access: staircase/lift size, building permissions, parking, and timings; you are not liable if furniture cannot be taken inside due to access issues.
• Clarify that delivery dates are estimates and may be affected by factors beyond control (strikes, transport issues, material delays, etc.).
9. Risk, damage on delivery, and ownership
• Mention that ownership passes to the customer only after full payment.
• Specify that risk of damage passes on delivery; damages must be reported immediately on delivery with photos and noted on the delivery challan.
10. Installation and site readiness
• Clarify what is included in free installation (if you provide it) and what is charged extra (wall mounting, electrical/civil modifications, etc.).
• State that the site must be ready: flooring, painting, electrical, and civil work completed and dust-free before installation; postponements or re-visits may be chargeable.
11. Warranty and exclusions
• Define warranty period for:

• Hardware (hinges, channels, handles).
• Upholstery fabric/leatherette and foam.
• Polish/finish and mechanisms (recliners, hydraulic lifts).
• Clearly list what is not covered: damage due to misuse, water damage, pests, unauthorized repairs, normal wear and tear, colour fading due to sunlight, fabric pilling, etc.
• Mention that warranty is valid only with invoice and for original purchaser.
12. Repairs, service, and after-sales
• Define whether service is on-site or at workshop and who bears transport charges after the warranty period.
• Clarify expected service timelines and that replacement of parts may depend on availability and may be of similar quality, not identical.
13. Returns, exchanges, and cancellations
• State clear policy:
• No return or exchange for custom-made items.
• Standard items may be exchanged/returned within a limited period only if unused and in original condition (if you allow this).
• Cancellation charges or forfeiture of advance if the customer cancels after production has started.
• Explain that minor variations in colour/texture from samples are not valid reasons for return.
14. Refund policy
• Explain conditions under which refunds are given (for example, non-availability, manufacturing defect not repairable, wrong product supplied).
• Mention refund timelines and mode (bank transfer, UPI, etc.), and any deductions (packing, transport, administrative charges).
15. Customer responsibilities and care instructions
• Include basic care instructions for solid wood: protection from water, heat, direct sunlight, and heavy impact.
• State that damage caused by ignoring care guidelines will void warranty.
16. Limitation of liability
• Clarify that your liability is limited to repair, replacement, or refund up to the invoice value of the product.
• Mention that you are not responsible for indirect losses like loss of business, emotional distress, or third-party damages.
17. Intellectual property and branding
• If you use your own designs, note that all designs, photos, logos, and content belong to your business and cannot be copied without permission.
